Welcome to the Corporate Digital Messenger (CDMessenger)! CDMessenger serves the purpose of facilitating inter office communication among members of staff effectively and instantly. CDMessenger is a professional software product launched by Astra Software Pvt Ltd. to raise the speed in official work.

The term "CDMessenger" here refers to the company "Astra Software Pvt Ltd". The term "you" refers to the user of the CDMessenger. CDMessenger is a software service of Astra Software Pvt Ltd.

CDMessenger has the right to discontinue service, or deny the access of anyone who violates our Policies or the terms and conditions shown below WITHOUT WARNING OR PRIOR NOTICE. No refunds of fees paid will be made if account termination is due to violation of the terms outlined below.

Please read the following Terms of Use (TOU) carefully before getting started with the software application. (1) CDMessenger reserves the right to inactivate or cancel a customer's access to any or all services provided by CDMessenger anytime if an inappropriate or illegal activity has been taken place on part of the general user or admin user. (2) Any attempt to undermine or cause harm to our services, servers, or users of CDMessenger is strictly prohibited. (3) Any unauthorized access/use of CDMessenger software application is a subject matter of illegal action. (4) Any unauthorized access/use of CDMessenger services is strongly prohibited. Such attempts include "Internet scamming" (tricking other people unto releasing their passwords), password robbery, security hole scanning etc. Any unauthorized use of accounts or computers by a CDMessenger customer, whether or not the attacked account or computer belongs to CDMessenger, will result in action against the attacker. Possible actions include warnings, account suspension or cancellation, and civil or criminal legal action, depending upon the seriousness of the attack. (5) CDMessenger has the right to withdraw of free services with prior notice of 15 days at any time or admin user will be offered to add more user to continue the services of CDMessenger (6) All the guidelines and conditions mentioned in "TOU" may subject to change or modified as according to the future requirement and existing users are bound to follow the amendments.

Harm cause of Unlimited Traffic

CDMessenger users are privileged to be offered chat.

To provide better service and maintain the integrity of our chat software application the following limitations apply:

If the traffic created is determined unreasonable by CDMessenger team, then CDMessenger user will be asked to either remove a particular User or remove CDMessenger from a particular computer. Any account with traffic that generates unreasonable high chat transcripts will be monitored and may be charged additional fees. These fees will be at the sole discretion of CDMessenger, but will not be given without agreement with the user. During Trial period any account usage extensively our system resources will be canceled without prior information. All accounts are bounded with traffic limit as estimated reasonable to purchase of additional users. Traffic limits are all at the discretion of cdmessenger.com.

The traffic limits may be increased and reduced for individual user account by cdmessenger.com at its own discretion at any point of time.

CDMessenger will be the sole arbiter as to what constitutes a violation of this provision. CDMessenger can discontinue any user account with/without specifying reasons.

Disk Overages

Although CDMessenger takes utmost care of stored data and regular backups. CDMessenger will not be responsible for any data loss for any reason i.e. data corruption due to crash, transit etc. All CDMessenger user accounts come with metered disk space for the chat script database.

All CDMessenger user accounts data will be retained for six months. Inactive sticky notes, conference transcripts, non-repeated alerts data prior to six months will be removed from user accounts. In case your account receiving more amount of traffic and taking more space for recording transcripts in that case CDMessenger can remove data before six months also to maintain performance of the system. Other data i.e. Chat transcripts, notice transcripts; offline messages etc will be kept for the minimum period of six months.

Payment Policies

All user accounts are set up on a pre-pay basis. Setup fees are charged for all new accounts and major account changes are non-refundable or Refunds will be given at the discretion of the Company Management. All pricing is guaranteed for the term of pre-payment. CDMessenger reserves the right to change prices at any time, unless other terms have been agreed upon. Any account not brought current within a week (7 days) of e-mail notice or exceeding this time frame in any way is subject to suspension. The user is responsible for all money owed on the account from the time it was established to the time that the customer notifies CDMessenger to request for termination of services. All payment will be made in U.S. currency. CDMessenger will bill each client $75.00 per returned check, per wire transfer received and per credit card chargeback received. All CDMessenger accounts are setup on anniversary billing cycles. Your particular billing cycle corresponds to the contract length that was initially chosen at setup. Your account will automatically renew at this length. If you want to discontinue use of service, then your account cancellation request must be 48 hours before the billing to avoid recurring charges on your account otherwise your account will be charged for next period. There is no fee to change to a shorter billing cycle at the end of the current cycle. However, if you wish to change to a shorter billing cycle, during a current cycle, there may be a $15.00 fee. Please contact the billing department if you wish to change your anniversary billing cycle. In addition, if your credit card declines for any reason CDMessenger may charge your account an additional $5.00 service charge every time your card is declined. If you requested the cancellation of CDMessenger account or decided not to continue use CDMessenger account after free trial period then you must remove CDMessenger software from your computer.

Duplication of Service

Any duplication, reproduction, copy, resell or exploitation for business purpose of CDMessenger software will subject to illegal action.


CDMessenger reserves the right to cancel service at any time. All fees paid in advance of cancellation will be pro-rated and paid by CDMessenger, if CDMessenger executes its right to cancellation. Any violation of policies which results in extra costs will be billed to the customer (i.e. transfer, space etc.).

Intellectual Property Rights

Material accessible to you through CDMessenger services may be subject to protection under the copyright laws, or laws protecting trademarks, trade secrets or proprietary information. Except when expressly permitted by the owner of such rights, you must not use software or its servers and network in a manner that would infringe, violate, dilute or misappropriate any such rights, with respect to any material, which you access or receive through the CDMessenger network.

Lawful Purpose

CDMessenger reserves the right to refuse service of any user. Customers may only use software application for lawful purpose. This includes, but is not limited to copyrighted material, material legally judged to be threatening or obscene, and material protected by trade secrets. The designation of any materials as such described above is left entirely to the discretion of CDMessenger management. IN NO EVENT SHALL CDMESSENGER TAKES NO LIABILITY.


Customer agrees that it shall defend, indemnify, save and hold CDMessenger harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorney's fees asserted against CDMessenger, its agents, customers, officers and employees, that may arise or result from any service provided or performed or agreed to be performed or any product sold by customer, it's agents, employees or assigns. customer agrees to defend, indemnify and hold harmless CDMessenger against liabilities arising out of; (1) any injury to person or property caused by any products sold or otherwise distributed in connection with CDMessenger services; (2) any material supplied by customer infringing or allegedly infringing on the proprietary rights of a third party; (3) copyright infringement and (4) any defective products sold to customer from CDMessenger services.


CDMessenger will not be responsible for any damages your business may suffer or any loss you incur for whatever reasons. CDMessenger makes no warranties of any kind, expressed or implied for services we provide. CDMessenger disclaims any warranty or merchantability or fitness for a particular purpose. This includes loss of data resulting from delays, non-deliveries, wrong delivery, and any and all service interruptions caused by CDMessenger and its employees. CDMessenger reserves the right to revise its policies at any time. Failure to follow any term or condition will be grounds for immediate account deactivation.

User Obligations

  • By becoming a User of the CDMessenger software, you agree to receive certain specific emails from CDMessenger time to time.
  • This Agreement, accepted upon use of the software and further affirmed by becoming a user of the CDMessenger software application, contains the entire agreement between you and CDMessenger regarding the use of the software. If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect.


You are under an obligation to report any misuse or abuse of the site or the software. If you notice any abuse or misuse of the software or any thing which is in violation of this Agreement or any applicable law, you shall forthwith report such violation to CDMessenger by contacting to 24/7 technical assistance. On receipt of such complaint, cdmessenger.com may investigate such complaint and if necessary may terminate the user account of the responsible user for such violation abuse or misuse without any refund of subscription fee. Any false complaint made by a user shall make such user liable for termination of his / her user account without any refund of the subscription fee.
